1. Acceptance of Terms
Welcome to Finora. These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Finora Technologies Ltd ("Finora", "we", "us", "our") governing your access to and use of the Finora business management and tax platform ("Platform"), including our website at finorabusiness.com, web application at app.finorabusiness.com, mobile applications, and related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
If you are using the Services on behalf of a business or entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.
2. Description of Services
Finora provides a cloud-based business management and tax platform designed for Nigerian businesses, including:
- Invoicing: Create, send, and track professional invoices
- Receipt Management: Capture and organize business receipts
- Expense Tracking: Record and categorize business expenses
- Accounting: Chart of accounts, journal entries, and trial balance
- Financial Statements: Automated P&L, balance sheet, and cash flow statements
- Tax Compliance: VAT, WHT, CIT calculations per Nigeria Tax Act
- Bank Integration: Connect Nigerian bank accounts for transaction sync
- Inventory Management: Track products, services, and stock levels
- Accountant Collaboration: Share access with professional accountants
The specific features available to you depend on your subscription tier (Free, Premium, or Accountant Pro).
3. Account Registration
3.1 Eligibility
To use the Services, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into contracts
- Not be barred from using the Services under Nigerian law
3.2 Account Creation
To access the Platform, you must create an account by providing accurate and complete information, including:
- Your full legal name
- Valid email address
- Business information (if applicable)
3.3 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
We recommend enabling multi-factor authentication when available.
3.4 Account Accuracy
You agree to keep your account information accurate and up to date. Providing false or misleading information may result in account suspension or termination.
4. Subscription and Billing
4.1 Subscription Tiers

4.2 Payment Terms
- Subscriptions are billed monthly in Nigerian Naira (NGN)
- Payment is due at the beginning of each billing cycle
- We accept payments via Paystack (cards, bank transfers)
- All fees are exclusive of applicable taxes
4.3 Renewal
- Auto-renewal: Your subscription will automatically renew unless cancelled
- Manual renewal: If selected, you must manually renew before expiry
- We will notify you before renewal or expiry
4.4 Grace Period
If payment fails, you have a 2-day grace period to update your payment method. During this period, you retain full access to the Platform.
4.5 Cancellation
- You may cancel your subscription at any time through Settings > Subscription
- Cancellation takes effect at the end of the current billing period
- You retain access to paid features until the subscription expires
- After expiry, your account will be downgraded to the Free tier
4.6 Refund Policy
- We do not provide refunds for partial months or unused time
- Refunds may be considered on a case-by-case basis for billing errors

4.7 Price Changes
We may change subscription prices with 30 days' notice. Price changes will take effect at your next renewal date after the notice period.
5. User Conduct
5.1 Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must:
- Use the Services for legitimate business purposes
- Comply with all applicable Nigerian laws and regulations
- Provide accurate information for tax calculations
- Maintain proper business records
5.2 Prohibited Activities
You may NOT:
- Use the Services for any illegal purpose or in violation of any law
- Submit false, misleading, or fraudulent information
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Services or servers
- Reverse engineer, decompile, or disassemble any part of the Services
- Use the Services to transmit malware, viruses, or harmful code
- Scrape, data mine, or extract data from the Services without permission
- Resell or redistribute the Services without authorization
- Use the Services to harass, abuse, or harm others
- Circumvent any access controls or usage limits
5.3 Enforcement
Violation of these Terms may result in:
- Warning notice
- Temporary suspension of access
- Permanent termination of your account
- Legal action where appropriate
6. User Data and Content
6.1 Your Data
You retain all ownership rights to the data you input into the Platform ("User Data"), including:
- Business information
- Invoice and receipt data
- Customer and supplier information
- Financial records
6.2 License to Finora
By using the Services, you grant Finora a limited, non-exclusive license to:
- Host, store, and process your User Data
- Display your User Data to you and authorized users
- Create backups for data protection purposes
- Provide the Services to you
This license is solely for operating and improving the Services.
6.3 Data Accuracy
You are responsible for the accuracy of the data you input. Finora is not liable for errors resulting from inaccurate User Data, including incorrect tax calculations based on incorrect inputs.
6.4 Data Export
You may export your User Data at any time through the Platform's export functionality. We support exports in common formats (CSV, Excel, PDF).
6.5 Data Deletion
Upon account deletion:
- Your User Data will be deleted within 7 days
- Some data may be retained for legal compliance (e.g., tax records for 6 years)

7. Intellectual Property
7.1 Finora's Intellectual Property
The Services, including all software, designs, text, graphics, logos, icons, and trademarks, are owned by or licensed to Finora and are protected by intellectual property laws.
You may not:
- Copy, modify, or distribute any part of the Services
- Use our trademarks without written permission
- Remove any copyright or proprietary notices
7.2 Feedback
If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you grant Finora a non-exclusive, royalty-free, perpetual license to use, modify, and incorporate that Feedback into our Services.

The Services may integrate with third-party services for bank connectivity, payment processing, and cloud infrastructure. Your use of these integrations is subject to the third parties' own terms and policies.

9. Disclaimers

- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or completeness
9.2 No Tax or Legal Advice
Finora is a software tool, not a substitute for professional advice.
- Tax calculations are based on the data you provide and our understanding of Nigerian tax law
- We do not guarantee the accuracy of tax calculations
- You should consult a qualified accountant or tax professional for tax advice
- Finora is not responsible for tax penalties resulting from incorrect filings
9.3 Service Availability
We strive for high availability but do not guarantee uninterrupted access. Services may be temporarily unavailable due to:
- Scheduled maintenance
- Technical issues
- Circumstances beyond our control
10. Limitation of Liability
10.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINORA SHALL NOT BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages resulting from service interruptions or data loss
- Damages resulting from third-party actions
10.2 Cap on Liability
FINORA'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO FINORA IN THE 12 MONTHS PRECEDING THE CLAIM.
10.3 Essential Purpose
These limitations apply even if Finora has been advised of the possibility of such damages and regardless of whether any remedy fails of its essential purpose.
10.4 Exceptions
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such cases, our liability will be limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Finora, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any law or rights of a third party
- Any dispute between you and a third party
12. Termination
12.1 Termination by You
You may terminate your account at any time by:
- Contacting support@finorabusiness.com
- Using the account deletion feature in Settings
12.2 Termination by Finora
We may suspend or terminate your access to the Services:
- For violation of these Terms
- For non-payment of fees
- If required by law
- To protect the security or integrity of the Services
- For any other reason with 30 days' notice
12.3 Effect of Termination
Upon termination:
- Your right to use the Services immediately ceases
- You remain liable for any outstanding fees
- Provisions that by their nature should survive will survive (e.g., limitation of liability, indemnification)
13. Governing Law and Jurisdiction
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
13.2 Jurisdiction
Any disputes arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts located in Lagos, Nigeria.
14. Dispute Resolution
14.1 Informal Resolution
Before initiating formal proceedings, you agree to attempt to resolve any dispute informally by contacting us at legal@finorabusiness.com. We will attempt to resolve the dispute within 30 days.
14.2 Arbitration
If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act of Nigeria. The arbitration shall take place in Lagos, Nigeria, and be conducted in English.
14.3 Class Action Waiver
To the extent permitted by law, you agree to resolve disputes individually and waive the right to participate in any class action lawsuit or class-wide arbitration.
15. Changes to Terms
15.1 Modifications
We may modify these Terms at any time. Material changes will be communicated:
- Via email to your registered address
- Through a prominent notice on the Platform
- At least 30 days before taking effect
15.2 Continued Use
Your continued use of the Services after the effective date of changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Finora regarding the Services.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
16.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
16.4 Assignment
You may not assign or transfer these Terms without our written consent. Finora may assign these Terms without restriction.
16.5 Force Majeure
Finora shall not be liable for any failure or delay in performing obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, or government actions.
